Thanks for using the web services (the "Services") provided by Relinked Solutions inc. ("Relinked", "we", "us"), a Canadian corporation located at 4416 St-Laurent, Suite 303, Montreal, Quebec, H2W 1Z5, Canada.
These Terms of Service ("Terms") govern your access and use of our Services and materials appearing on the Services (collectively referred to as the "Links"). By using our Services, you agree to these Terms. Please read them carefully.
You may use our Services only if you can form a binding contract with Relinked and are not a person barred from receiving services under the laws of the Province of Quebec, Canada or other applicable jurisdiction. If you are accepting these Terms and using the Services on behalf of a company, organization, government, or other legal entity, you represent and warrant that you are authorized to do so. You may use the Services only in compliance with these Terms and all applicable local, province, national, and international laws, rules and regulations.
Despite our Code of Conduct, we cannot guarantee that our Services are always suitable for children under the age of 13 years old. In the event where you authorize a minor person to use our Services, you acknowledge your responsibility regarding i) his/her behaviour when using our Services, ii) the supervision of the acces and usage of our Services, iii) any misuse of our Services. If your minor child is browsing our services without your consent, please contact us at privacy@relinked.com so we can take steps to suspend your child's account.
You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account. Relinked cannot and will not be liable for any loss or damage arising from your failure to comply with the above.
We respect your privacy. We will never share your information with any third-party.
In order to provide our Services, Relinked must collect some information in your account. You consent to the collection, transfer, manipulation, storage and other uses of your information as described in these Terms. Irrespective of which country you reside in or supply information from, you authorize Relinked to use your information in the Province of Quebec and any other country where Relinked operates.
When you create or configure your account, you provide some personal information, such as your email address, username or password. With our Services, your username, Links and Relinked stream are listed publicly. Some Services, such as searching and viewing public user profiles, do not require registration.
You understand that, as with any online services, you should disclose as few valuable or sensitive information as possible. You understand that online services such as those provided by Relinked can be targeted by cybercriminals, which is completely out of our control. Relinked will maintain high security standards, but we cannot be held responsible for losses or leaks of user information.
We have your privacy at heart. In order to minimize the usage of cookies with our Services, we are using a cookie only for the automatic session login. We will never use cookies to track any of your behaviours with our Services. A cookie is a small data file that is transferred by your computer or mobile device. Most web browsers automatically accept cookies. You can instruct your browser, by changing its settings, to stop transferring cookies or to prompt you before accepting a cookie from the websites you visit. However, some Services may not function properly if you disable or deny cookies.
We have your privacy at heart. We will never modify your streams in order to present you with targeted advertisement. Our Services may include advertisement generated by its users and posted in the streams. If you wish to not see such user created Links, you can simply hide them or block the unwanted source domain name.
Your account information is very important to us and must stay valid at all time. As part of providing our Services, we may need to provide you with certain communications using your account's email, for instance, of the validation or modification of your account, in case of password loss, service announcements and administrative messages, or for any other reason which would require your attention. These communications are considered part of our Services and your Relinked account, which you may not be able to opt-out from receiving.
If the email you have given us is invalid, your account could be suspended or even deleted.
We may suspend or terminate your account or cease providing you with all or part of the Services at any time for any or no reason, including, but not limited to, if we reasonably believe: (i) you have violated these Terms or the Code of Conduct, (ii) you create risk or possible legal exposure for us; or (iii) our provision of the Services to you is no longer commercially viable. We will notify you by the email address associated with your account or the next time you attempt to access your account.
All Links are publicly posted or transmitted, and are the sole responsibility of the person who originated such Links. You should only provide Links that you are comfortable sharing with others under these Terms. We may not monitor or control the Links posted via our Services and, we cannot take responsibility for such Links. Any use or reliance on any Links or materials posted via our Services or obtained by you through our Services is at your own risk.
We do not endorse, support, represent or guarantee the completeness, truthfulness, accuracy, or reliability of any Links or communications posted via our Services or endorse any opinions expressed via our Services. You understand that by using our Services, you may be exposed to Links that might be offensive, harmful, inaccurate or otherwise inappropriate, or in some cases, postings that have been mislabeled or are otherwise deceptive. Under no circumstances will Relinked be liable in any way for any Links, including, but not limited to, any errors or omissions in any Links, or any loss or damage of any kind incurred as a result of the use of any Links posted, emailed, transmitted or otherwise made available via our Services or broadcast elsewhere.
Our Services contain Links to third-party websites or resources. You acknowledge and agree that Relinked is not responsible or liable for: (i) the availability or accuracy of such websites or resources; or (ii) the content, products, or services on or available from such websites or resources. Links to such websites or resources do not imply any endorsement by Relinked of such websites or resources or the Links, products, or services available from such websites or resources. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
Please review the Relinked Code of Conduct (which are part of these Terms) to better understand what is prohibited on our Services. We reserve the right at all times (but will not have an obligation) to remove or refuse to distribute any Links on our Services, to suspend or terminate users, and to reclaim usernames without liability to you. We also reserve the right to access, read, preserve, and disclose any information as we reasonably believe is necessary to (i) satisfy any applicable law, regulation, legal process or governmental request, (ii) enforce the Terms, including investigation of potential violations hereof, (iii) detect, prevent, or otherwise address fraud, security or technical issues, (iv) respond to user support requests, or (v) protect the rights, property or safety of Relinked, its users and the public.
Relinked respects the intellectual property rights of others and expects users of the Services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law and are properly provided to us. If you believe that your Links has been copied in a way that constitutes copyright infringement, please provide us with the following information: (i) a physical or electronic signature of the copyright owner or a person authorized to act on their behalf; (ii) identification of the copyrighted work claimed to have been infringed; (iii) identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material; (iv) your contact information, including your address, telephone number, and an email address; (v) a statement by you that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
We reserve the right to remove Links alleged to be infringing without prior notice, at our sole discretion, and without liability to you. In appropriate circumstances, Relinked will also terminate a user's account if the user is determined to be a repeat offender. According to canadian and foreing legislations on copyrighted material, our designated copyright agent for notice of alleged copyright infringement appearing on our Services is:

You retain your rights to any Links you submit, post or display on or through our Services. You are responsible for your use of our Services, for any Links you provide, and for any consequences thereof, including the use of your Links by other users and partners. You understand that your Links may be syndicated, broadcast, distributed, or published by our partners and if you do not have the right to submit Links for such use, it may subject you to liability. Relinked will not be responsible or liable for any use of your Links by Relinked in accordance with these Terms. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Links that you submit.
By submitting, posting or displaying Links on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sub-license) to use, copy, reproduce, process, adapt, modify, publish, transmit, display and distribute such Links in any and all media or distribution methods (now known or later developed).
You agree that this license includes the right for Relinked to provide, promote, and improve our Services and to make Links submitted to or through our Services available to other companies, organizations or individuals who partner with Relinked for the syndication, broadcast, distribution or publication of such Links on other media and services, subject to our terms and conditions for such Links use.
We may modify or adapt your Links in order to transmit, display or distribute it over computer networks and in various media and/or make changes to your Links as are necessary to conform and adapt that Links to any requirements or limitations of any networks, devices, services or media.
Relinked instantly broadcasts Links everywhere according to their Prime Time, categories, popularity, location, statuses, and other relevant properties. Any registered user can broadcast Links, which consist of a unique URL, title, description, image, and other information that is public and which connects to content like reviews, articles, papers, photos or videos. Registered users can review public Links and privately or publicly promote them.
You agree that, once posted by our Services, your Links are unique and permanent across all our Services. It is impossible to submit a same Link more than once, nor to reset a Link's statuses. It is possible to delete Links from your account, but not to remove them from all our Services. To completely delete Links from our services, you must delete its source from the internet. Relinked reserves the right to refuse or block any Links provided by the users.
If we have proof or a reasonable doubt to believe a Link belongs to another user, or if a legitimate claim coming from the owner of a Link is formulated, we may reassign, suspend or delete the Links without prior notice.
Prime Points purchased or accumulated in your account allow to add Prime Time to your Links with our Services. Prime placement evaluations of a Link are for reference only and are not guaranteed to be exact.
We do not guarantee paying or promoted Prime Links placement or performance since its fluctuation and its quality are unknown. However, Relinked could provide the available statistics on performance if they exist.
The amount of Prime Time and quantity of Prime Points distributed by our Services, the ratio of Prime Time for Prime Points, and the Prime Points monetary value may vary.
Relinked does not collect credit card information.
All sales made in predefined currencies, cryptocurrencies or Prime Points are final and non-refundable. Promoted Links are also subject to moderation and Relinked will fulfill the requested purchase order upon reception of funds if deemed fit.
You are responsible for any applicable sales taxes and other charges arising from the transaction.
When Links are visited by our members, their votes are added and converted in Prime Time and in Primes Points. We may modify, reassign, suspend or revoke your Primes without prior notice.
All right, title, and interest in and to our Services (excluding Links provided by users) are and will remain the exclusive property of Relinked. Our Services are protected by copyright, trademark, and other laws of both Quebec, Canada and foreign countries. Nothing in the Terms gives you a right to use the Relinked name or any of the Relinked trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding Relinked, or our Services is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you.
Relinked gives you a personal, worldwide, royalty-free, non-assignable and non-exclusive license to use the software that is provided to you by Relinked as part of its Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of our Services in the manner permitted by these Terms.
The Services that Relinked provides are always evolving and may change from time to time, or stop permanently or temporarily, without prior notice to you. We also retain the right to create limits on use and storage at our sole discretion at any time without prior notice to you.
You may not do any of the following while accessing or using our Services: (i) access, tamper with, or use non-public areas of our Services, computer systems, or the technical delivery systems of providers; (ii) probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures; (iii) access or search or attempt to access or search our Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by Relinked (and only pursuant to the applicable terms), unless you have been specifically allowed to do so in a separate agreement with Relinked (NOTE: crawling our Services is permissible if done in accordance with the provisions of the robots.txt file, however, scraping our Services without the prior consent of Relinked is expressly prohibited); (iv) forge any TCP/IP packet header or any part of the header information in any email or posting, or in any way use our Services to send altered, deceptive or false source-identifying information; or (v) interfere with, or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing our Services, or by scripting the creation of Links in such a manner as to interfere with or create an undue burden on our Services.
All dispositions stated in these Terms will continue to apply for all your Links, and this, even after your account's termination.
We will not act as intermediate or mediator for disputes with our members.
We may revise these Terms from time to time, the most current version will always be at https://relinked.com/terms_of_use. If the revision, in our sole discretion, is material we will notify you via the email associated with your account. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised Terms.
These Terms, including the Relinked Code of Conduct, are the entire and exclusive agreement between Relinked and you regarding our Services (excluding any services for which you have a separate agreement with Relinked that is explicitly in addition or in place of these Terms), and these Terms supersede and replace any prior agreements between Relinked and you regarding our Services. Other than members of the group of companies of which Relinked Solutions, Inc. is the parent, no other person or company will be third party beneficiaries to the Terms.
YOUR ACCESS AND USE OF THE SERVICES OR ANY LINKS ARE AT YOUR OWN RISK. YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED TO YOU ON AN "AS IS" AND "AS AVAILABLE" BASIS. WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, RELINKED DOES NOT REPRESENT OR GUARANTEE ITS SERVICES, ITS LINKS, ITS FEATURES AND CONTENT INCLUDING, IN PARTICULAR, WARRANTIES ABOUT (I) MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF INTELLECTUAL PROPERTY; (II) THE AVAILABILITY ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS OF THE SERVICES, LINKS OR FEATURES; (III) WHETHER THE SERVICES, THE LINKS OR FEATURES WILL MEET YOUR REQUIREMENTS AND EXPECTATIONS; (IV) THE COMPLETENESS, ACCURACY, TIMELINESS, OR RELIABILITY OF THE SERVICES, LINKS, FEATURES AND CONTENT; (V) THE CORRECTION OF DEFECTS OR ERRORS IN THE SERVICES, LINKS OR FEATURES; (VI) THE ABSENCE OF VIRUS OR HARMFUL COMPONENTS IN THE SERVICES, LINKS OR FEATURES; (VII) THE SECURE TRANSMISSION WITHOUT INTERCEPTION OF ANY COMMUNICATIONS USING OUR SERVICES, LINKS OR FEATURES; AND (VIII) THE DELETION OF, OR THE FAILURE TO STORE OR TO TRANSMIT, ANY LINKS AND OTHER COMMUNICATIONS MAINTAINED BY THE SERVICES.
IN ADDITION, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE RELINKED ENTITIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOOD-WILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE RELINKED ENTITIES EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) OR THE AMOUNT YOU PAID RELINKED, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT THE RELINKED ENTITIES HAVE BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE RELINKED ENTITIES OR THROUGH THE SERVICES, WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE HEREIN.
If we are requested to disclose user information for legal purposes, we will comply with the authorities.
The failure of Relinked to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
You agree to hold Relinked and its administrators, employees, agents, licensors and their respective successors and assigns harmless, support and advocate from all liabilities, claims, fees and expenses including attorneys' fees and other legal costs that arise from or relate to: i) the breach of these Conditions; ii) your use or misuse of our Services or features, or the fact that you relied on them; or iii) you breaking the law or any applicable legislation. You agree that you will cooperate and help us in asserting any defenses.
These Terms and any action related thereto will be governed by the laws of the province of Quebec, Canada, without regard to or application of its conflict of law provisions or your province or country of residence. All claims, legal proceedings or litigation arising in connection with the Services will be brought solely in the provincial or federal courts located in Montreal, Quebec, Canada, and you consent to the jurisdiction of and venue in such courts and waive any objection as to inconvenient forum.
